1. Introduction

This Affiliate Program Agreement (“Agreement”) is made between ViceDealz (“ViceDealz,” “we,” or “us”) and the individual or entity applying to join the ViceDealz Affiliate Network (“Affiliate,” “you,” or “your”). By submitting an application and participating in our affiliate program (the “Program”), you acknowledge that you have read, understood, and agreed to these terms and conditions.

2. Enrollment in the Program

To join the Program, you must submit an application through ViceDealz’s designated portal. You must provide accurate and complete information. ViceDealz reserves the right to accept or reject applications at its sole discretion.

3. Responsibilities of the Parties

Upon acceptance into the Program:
ViceDealz will provide you with tracking links and access to API integration where applicable.
Affiliates may use their own marketing materials, provided they comply with ViceDealz’s guidelines and applicable laws.
You must not alter, modify, or misrepresent ViceDealz’s offers.

4. Commission and Payment Terms

Affiliates will earn commissions for each verified conversion (“Qualified Action”).
A Qualified Action is defined as a legitimate, non-fraudulent customer action that meets all ViceDealz tracking requirements.
Payments will be made monthly if your earnings exceed the minimum payout threshold of $1,000. If this amount is not met, the balance will roll over to the next month.
ViceDealz is only responsible for commission payments once funds are received from clients.

5. Affiliate Obligations

You agree that:

  • Your media and promotional methods will comply with applicable laws and regulations.
  • You will not engage in fraudulent activities, including but not limited to, cookie stuffing, fake leads, or automated clicks.
  • Your content must not include or link to material that is unlawful, misleading, offensive, or violates intellectual property rights.
  • You will comply with all third-party platform policies (e.g., Google, Facebook) when promoting ViceDealz offers.
  • You are strictly prohibited from using celebrity endorsements, misleading ads, or any deceptive practices to drive traffic to the Program. If you do so, you accept full legal responsibility for any consequences that may arise.

6. Prohibited Activities

  • Spamming or unauthorized email campaigns.
  • Using misleading ads, fake promotions, or deceptive tactics.
  • Bidding on ViceDealz brand-related keywords in paid search campaigns without approval.
  • Promoting ViceDealz offers on websites that feature illegal content.
  • Sending leads that have not opted in.
  • Using celebrity endorsements or misleading ads to drive traffic to the Program. Affiliates accept full legal responsibility for any consequences arising from such actions.
  • Any other activity that ViceDealz deems inappropriate or damaging to its brand.

7. Tracking, Reporting, and Disputes

ViceDealz’s tracking system will determine the validity of all conversions and commissions.
If you dispute a reported conversion, you must provide documentation within 30 days of the transaction.
In case of discrepancies exceeding 10% between your tracking and ours, both parties will work in good faith to resolve the issue.

8. Confidentiality

Any information shared between you and ViceDealz, including business strategies and commission structures, is confidential.
You may not disclose confidential information to any third party without prior written consent.

9. Intellectual Property

ViceDealz retains ownership of all trademarks, branding materials, and marketing assets.
You may only use ViceDealz assets in ways explicitly permitted by this Agreement.

10. Termination and Suspension

Either party may terminate this Agreement with written notice.
ViceDealz reserves the right to suspend or terminate your account without notice if you violate any of these terms.
Upon termination, you must remove all ViceDealz materials from your media immediately.

11. Limitation of Liability

ViceDealz assumes no liability for any direct, indirect, incidental, or consequential damages arising from your participation in the Program.
If any legal issues arise due to traffic generated by the Affiliate, the Affiliate is solely responsible for the consequences. ViceDealz acts as an intermediary and holds no liability for the actions of affiliates or clients.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be resolved via arbitration.

13. Tax Responsibility

The Affiliate acknowledges and agrees that they are solely and exclusively responsible for complying with all applicable tax laws and regulations in any jurisdiction in which they are personally tax resident or in which their company is incorporated, established, or otherwise deemed tax resident. The Affiliate is responsible for the reporting, withholding, collection, remittance, and payment of any taxes, duties, levies, social contributions, or similar governmental charges arising from any payments received under this Agreement. The Company shall have no responsibility or liability for the Affiliate’s tax obligations and shall not be required to provide tax advice, register for taxes on behalf of the Affiliate, or remit any such amounts to any tax authority.

14. Modification of Terms

ViceDealz may update or modify these terms at any time. Affiliates will be notified of any changes, and continued participation in the Program constitutes acceptance of the updated terms.
